1. The SaaS Agreement
These Terms of Service constitute a legally binding agreement between your pharmacy business ("Subscriber", "you", or "your") and GlobalHope Biotech OPC Private Limited ("Company", "we", "our", or "us"), a company registered under the laws of India.
By registering an account, purchasing a subscription plan, using our offline-first desktop tools, or connecting your Meta WhatsApp Business Profile, you agree to be bound by these terms. If you do not agree, you must immediately cease all access to the dashboard.
2. Eligibility, Verification & Onboarding
To create an account and unlock our inventory search, billing logs, and WhatsApp Setu features, you must satisfy the following verification requirements:
- Drug License Compliance: You must represent an active, licensed retail or wholesale pharmacy operating in India. You must submit valid drug licenses (Form 20 and/or Form 21) issued by the State Drugs Control Department. Any expired or forged licenses will result in immediate account termination.
- GSTIN Registration: You must provide a valid Goods and Services Tax Identification Number (GSTIN) matching the legal entity name of your business.
- Staff Credentials: Only authorized pharmacists or store managers may be granted dashboard access credentials. You are responsible for all entries, logs, and billing edits performed under your store tenant ID.
3. Meta WhatsApp Tech Provider Model & Direct Billing
If you activate the WhatsApp Setu module to transmit digital bills, PDF prescriptions, and automated refills, you explicitly agree to the following framework:
The Subscriber is legally required to establish their own Meta Business Account, link their WhatsApp Business Profile (WABA), and provide their corporate payment method directly within the Meta Business Billing Hub.
All transaction fees, conversation rates, and message fees are invoiced directly by Meta India Private Limited (or its regional affiliate) to the Subscriber. The Subscriber is solely responsible for paying Meta invoices. Failures to settle Meta dues resulting in API blockages or WABA suspensions are out of our control and do not constitute a failure of myRxSetu services.
4. Subscription Payments, Tiers & Upgrades
Our SaaS dashboard is offered on a pre-billed monthly or annual subscription basis:
- Subscription Tiers: Fees are determined by the active branch count, catalog size, and support SLA, as detailed on our Pricing Page.
- GST Invoice: All subscription transactions are subject to 18% GST (CGST/SGST or IGST). Tax invoices are generated automatically at checkout.
- Plan Changes: Upgrading to a higher tier triggers immediate pro-rata billing for the remaining days of your cycle. Downgrades apply starting from your next monthly renewal.
5. Closed-Loop Setu Wallet Framework
Prepaid credits loaded into the Setu Wallet are used to purchase proprietary metered operations (e.g. AI-drafted replies, SMS fallbacks, prescription OCR):
- No Conversion: The Setu Wallet is a closed-loop system. Credits loaded cannot be withdrawn, exchanged for cash, transferred to other tenants, or used to pay Meta invoice balances.
- No Expiry: Wallet credits do not expire and will remain in your wallet balance indefinitely, provided your SaaS account is in good standing.
- Forfeiture: If an account is suspended or terminated due to policy violations (such as spamming patients or entering false drug licenses), any outstanding wallet credits are forfeited.
6. Patient Consent & DPDP Compliance
Under the Digital Personal Data Protection (DPDP) Act, 2026, the role of both parties is explicitly defined:
- The Subscriber acts as the Data Fiduciary and is legally responsible for obtaining clear, unambiguous, and revocable consent from patients before entering their numbers, sending bills, or dispensing records.
- The Company acts strictly as the Data Processor, handling text templates, media assets, and patient logs only under the instructions of the Subscriber.
7. Intellectual Property & Use Restrictions
All application code, UI systems, dashboard design tokens, database structures, offline sync protocols, and the myRxSetu wordmark are the exclusive property of GlobalHope Biotech OPC Private Limited.
You may not reverse-engineer the syncing worker, scrape the medicine catalog, replicate the design system, or attempt to bypass tenant database isolation barriers.
8. Uptime Commitments & Backup Recovery
We aim to provide reliable software services, but do not warrant uninterrupted operations:
- Uptime Target: We target a 99.9% uptime SLA for paid subscribers, excluding scheduled maintenance windows announced 24 hours in advance.
- Force Majeure: The Company is not responsible for service delays caused by government-mandated internet blockages, major cloud hosting provider outages, or network routing issues.
- Offline Mode Limit: While billing operates offline, cloud synchronization and backup uploads require an active internet connection. The Subscriber is responsible for maintaining stable connectivity.
9. Limitation of Liability
To the maximum extent permitted by Indian law, our total liability for any claims arising from these terms or your use of the platform shall not exceed the subscription fees paid by you to the Company in the three (3) months immediately preceding the event.
In no event shall the Company be liable for lost profits, loss of patient records, data corruption, or indirect financial damages arising from API failures.
10. Account Suspension Rules
We reserve the right to suspend or terminate your account dashboard access if you violate these terms, specifically:
- Failure to pay SaaS subscription fees within 10 days of the invoice date.
- Submission of invalid, forged, or expired Drug Licenses or GSTIN records during onboarding.
- Spamming patients or violating Meta's WhatsApp messaging standards.
11. Governing Law, Dispute Resolution & Contact
These Terms of Service are governed by and construed in accordance with the laws of India. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Hisar, Haryana, India.
